Terms of Service

1. Acceptance of Terms

By accessing or using BleepKit (“the Service”), operated by TECH EXTRANET LLC (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

BleepKit is a software-as-a-service platform that uses artificial intelligence to process audio files for the purpose of detecting and removing profanity. The Service includes AI-powered vocal separation, profanity detection, review and editing tools, and audio export capabilities.

3. Account Registration

To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration.

4. Acceptable Use

You agree not to:

• Upload content you do not have the right to process
• Use the Service to infringe on any intellectual property rights
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Use automated systems to access the Service beyond the provided API
• Resell or redistribute the Service without written authorization
• Upload malicious files or attempt to compromise the Service

5. Intellectual Property and Content Ownership

You retain all rights to the audio files you upload. BleepKit does not claim ownership of your content. We process your files solely to provide the Service and do not use your content for any other purpose.

BleepKit and its associated logos, designs, and software are the intellectual property of BleepKit. You may not use our branding without written permission.

6. Subscriptions and Payment

Paid plans are billed on a monthly recurring basis. Pay-as-you-go purchases are charged per song at the time of purchase. All payments are securely processed by Stripe, our payment provider. Prices are listed in USD. Applicable taxes are calculated and collected at checkout in accordance with local tax laws.

You may upgrade, downgrade, or cancel your subscription at any time from your account settings. Upgrades take effect immediately with prorated billing handled by Stripe. Downgrades and cancellations take effect at the end of your current billing cycle. No partial refunds are issued for the remaining days of a billing period when you downgrade or cancel.

7. Refund Policy

All purchases of subscription plans, pay-as-you-go credits, and Media Minute Packs are final and non-refundable, except in the situations below.

• Cancellation: You may cancel your subscription at any time from your account settings to prevent future renewals. Your current billing period remains active until it ends, and you keep access to any unused credits during that period.
• Processing errors: If our Service fails to process your file due to a system error on our end, the credits or minutes will be automatically returned to your account at no charge. If you would prefer a cash refund for a processing error instead, contact us within 30 days of the error.
• Unused pay-as-you-go credits and Media Minute Packs: Refundable only if not yet consumed. Once a song or media file is processed (or the credits have been applied to a job that began processing), the credit is considered consumed and is non-refundable.
• Duplicate charges: If you are accidentally charged more than once for the same transaction, we will refund the duplicate charge in full.
• Chargebacks: Filing a chargeback or payment dispute with your bank or card issuer without first contacting us may result in immediate account suspension. We always prefer to resolve billing issues directly — please reach out to us first.

To request a refund in any qualifying situation, contact us at hello@bleepkit.com with your account email and a description of the issue. Approved refunds are typically processed within 5–10 business days.

8. Free Tier

New accounts may try BleepKit on the first 60 seconds of any song at no charge — no credit card required. To unlock the full cleaned song, you may purchase a one-time song credit or subscribe to a paid plan. For podcasts and videos, new accounts receive 15 free media minutes for processing; additional minutes can be purchased through Media Minute Packs or a paid plan.

Free-tier access is non-transferable and intended for evaluating the Service. We reserve the right to modify, limit, or discontinue the free tier at any time, including changing the duration of preview content or the volume of free media minutes.

9. Data Processing and Storage

Uploaded audio files are processed on our servers and stored temporarily to complete the requested operation. Processed files and exports are available for download for 60 days, after which they may be automatically deleted. We may send a reminder email before deletion. Compliance reports (PDF and TXT) remain available after audio deletion as a record of the work performed. You are responsible for downloading and retaining your own copies of any audio files you wish to preserve.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Enterprise customers with SLA agreements are subject to the terms of their individual contracts.

11. Limitation of Liability

To the maximum extent permitted by law, BleepKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. User Responsibility for Output Verification

You are solely responsible for reviewing, verifying, and approving all processed files before distribution, broadcast, publication, or any other use. BleepKit provides AI-powered detection and a manual review step to assist you, but the final decision to use any processed file is yours alone.

You acknowledge that automated profanity detection may not identify every instance of profanity, particularly in cases involving overlapping speech, heavy vocal effects, background noise, slang, regional dialects, or languages with limited training data. False positives (incorrectly flagged words) and false negatives (missed profanity) may occur.

By exporting and using a processed file, you confirm that you have reviewed the output and accept full responsibility for its content. BleepKit shall not be held liable for any damages, fines, penalties, lost revenue, demonetization, or other consequences arising from profanity or objectionable content that remains in a processed file.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, that all profanity will be detected, or that processed files will be suitable for any particular purpose. No advice or information obtained from the Service shall create any warranty not expressly stated in these Terms.

14. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately, and any remaining subscription balance is forfeited.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Ohio, and you consent to the personal jurisdiction of those courts.
